Invest in the AI-native Business Operating System for the IT Teamless
BOSS.Tech is building the AI-native operating intelligence layer for real businesses: connecting existing software, making fragmented data AI-actionable, and enabling agents, automations, and MiniApps without requiring an enterprise IT army.
Thesis
AI is not failing because businesses lack enthusiasm. AI is failing because business data is fragmented, unverifiable, and trapped across disconnected tools.
BOSS.Tech is building the operating layer that helps businesses make AI useful in real operations.
Why Now
Every business is being told it needs AI. But most aren’t AI-ready.
Their data lives across Google Workspace, QuickBooks, Stripe, Twilio, Zendesk, Meta, calendars, spreadsheets, inboxes, CRMs, payment systems, support systems, and a dozen other tools. Enterprise companies can spend millions on consultants, custom integrations, and internal data teams. Smaller businesses cannot.
BOSS.Tech is designed for that gap.
Not another SaaS tool. Not another chatbot. Not another dashboard. A business operating system that connects what businesses already use, makes data AI-actionable, and turns fragmented software into coordinated operations.
Offering
BOSS.Tech is raising capital through a Regulation Crowdfunding (Reg CF) offering by Boss Tech, Inc. (doing business as BOSS.Tech). Rather than acquiring shares of the company directly, investors purchase membership interests in BOSS Tech II, a series of ArcRaise SPV LLC. That series will use the proceeds to purchase Series Seed Preferred Stock of Boss Tech, Inc. at $2.64 per share.
Units in BOSS Tech II are priced at $1.00 each, with a minimum investment of $2,500 per investor. The offering seeks to raise a minimum of $50,000 and a maximum of $4,000,000, and is conducted through GP Nurmenkari, Inc. (doing business as GPN Capital) as the intermediary. The offering deadline is April 30, 2027.
This Reg CF round runs alongside a concurrent Regulation D private placement, which targets up to $4,000,000 of its own, bringing the combined fundraising target to $8,000,000 across both offerings. The offering materials reflect a $24,000,000 pre-money valuation at the $2.64 per-share price.

Highlights
1. AI-native from the architecture up
BOSS.Tech is built as an AI-native Business Operating System, not a legacy SaaS product with AI features bolted on. Its purpose is to connect business software, normalize fragmented data, enable workflow automation, and create the context AI needs to be useful inside real operations.
2. Enterprise-grade operating intelligence for real businesses
Enterprise-grade operating intelligence has historically been available to governments, Fortune 500 companies, and highly technical organizations. BOSS.Tech is building toward a more accessible version for businesses without large IT teams.
3. Built by founders who have done this before
Felicite Moorman and Ryan Buchert previously co-founded STRATIS IoT, a SaaS and IoT platform acquired by RealPage. The Form C notes that STRATIS doubled revenue for seven consecutive years and was deployed in one of every five new U.S. multifamily developments by 2019.
4. Five connected technology frameworks
BOSS.Tech includes BOSSi for SaaS synchronization and normalization, MiniApps for configurable applications, Insights for AI-powered intelligence, Flow for workflow automation, and Agents for autonomous business support.
5. Proprietary technology strategy
The company filed three provisional patent applications on May 1, 2026, covering API reading, MiniApp construction, and synchronization of user data across decentralized and independent platforms.
6. Early market momentum
BOSS.Tech has progressed from vision to working platform, public beta launch, live use cases, strategic conversations, payment processor MiniApp opportunities, hackathon activation, bank conversations, SaaStr Mayfield Stage visibility, Venture Summit West, and MidAtlantic AI Forum momentum.
7. Community capital as GTM
ArcRaise is not just capital. It can become an investor, customer, advocate, and ambassador base for BOSS.Tech’s broader market entry.
Company Description
BOSS.Tech is an AI-native Business Operating System SuperApp that helps businesses connect the software they already use, organize fragmented data, automate workflows, and create configurable MiniApps for specific operational needs.
The company is building the operating layer businesses need before AI can reliably act across their real operations. Instead of asking companies to replace their tools, BOSS.Tech is designed to synchronize and normalize data across existing systems, then turn that data into AI-actionable insights, automations, agents, and business workflows.

Before BOSS.Tech, Felicite cofounded STRATIS IoT, a SaaS and IoT platform acquired by RealPage. STRATIS connected fragmented building systems across access, energy, water, and smart device management, doubled revenue for seven consecutive years, and was deployed in one of every five new U.S. multifamily developments by 2019.
At BOSS.Tech, Felicite is applying that same category-creating playbook to business software, helping companies move from disconnected SaaS tools to AI-actionable operations.

Exit Strategy
BOSS.Tech is building in a large, acquisition-active software category and intends to create long-term enterprise value. No exit, acquisition, IPO, dividend, liquidity event, or investor return is guaranteed.
Investor Q&A draft
What does BOSS.Tech do?
BOSS.Tech is an AI-native Business Operating System that connects the software businesses already use, organizes fragmented business data, automates workflows, and enables configurable MiniApps and AI agents.
Why is this needed now?
Businesses are under pressure to adopt AI, but most aren’t operationally ready. Their data is scattered across disconnected tools, and AI cannot reliably act without clean context, permissions, workflows, and integrations. BOSS.Tech is the operating layer that helps make business data AI-actionable.
Is this just another AI app?
No. BOSS.Tech is not simply adding a chatbot to business software. It is being built as an operating layer across business tools, with frameworks for integrations, data synchronization, MiniApps, insights, automations, and agents.
How is BOSS.Tech different?
BOSS.Tech is designed to work with the tools businesses already use. Its architecture includes BOSSi, MiniApps, Insights, Flow, and Agents, allowing the platform to connect systems, normalize data, build configurable applications, automate workflows, and support AI-powered action.
What traction exists today?
BOSS.Tech has launched a public beta, developed a working platform, advanced strategic partnership discussions, created live event and festival use cases, explored bank and payment processor MiniApp opportunities, built community-led growth through hackathon activation, and received visibility through SaaStr, Venture Summit West, and the MidAtlantic AI Forum.
Why this team?
The founding team has built and exited complex technology platforms before. Felicite Moorman and Ryan Buchert previously cofounded STRATIS IoT, which connected fragmented systems in the built environment and was acquired by RealPage. Their STRATIS experience is directly relevant to BOSS.Tech’s mission of connecting fragmented business software.
What will proceeds be used for?
Proceeds are expected to support product development, sales and marketing, general and administrative expenses, and working capital.
What are investors buying?
Reg CF investors are purchasing membership interests in ArcRaise SPV LLC at $1.00 per unit. The SPV will use proceeds to purchase Series Seed Preferred Stock of Boss Tech, Inc. at $2.64 per share. Investors in the Reg CF offering will not directly own shares of Boss Tech, Inc.
What is the valuation?
The concurrent private placement materials state a $24,000,000 pre-money valuation and a $2.64 per-share price for Series Seed Preferred Stock.
What are the risks?
BOSS.Tech is an early-stage company. It may not achieve its product, revenue, fundraising, partnership, or market adoption goals. Investors may experience dilution, may not have voting rights through the SPV structure, and may never receive a return or liquidity event. Any investment should be considered high-risk.
